Qudos Bank is an unlisted public company owned by our shareholding customers ('Members') and run by our Board of Directors. The Board consists of seven directors, 5 of whom are member elected and 2 of whom are appointed by our Board.

We’re a customer owned bank

As a customer owned organisation, Qudos Bank is owned and controlled by its Members. Being a Member means that you’re more than just a number – you’re a shareholder, and all shareholders over the age of 18 have the power to vote and play an important role in our future direction.

We don’t exist solely to generate profits for shareholders. Our shareholders are not private investors; they are you, our Members.

Corporate Governance

Corporate governance is how a company is directed and managed. It influences how the objectives of the company are set and achieved, how risk is monitored and assessed, and how performance is optimised.

The Australian Prudential Regulation Authority (APRA) has issued Prudential Standard CPS 510 Governance, which sets out minimum foundations for good governance of regulated financial institutions, such as Qudos Bank. Its objective is to ensure that regulated financial institutions are managed soundly and prudently by a competent Board, which can make reasonable and impartial business judgements in the best interests of the institution and which duly considers the impact of its decisions on depositors.

Framework

Our directors and management are committed to high standards of corporate governance and with this in mind, have articulated and formalised the corporate governance framework within which Qudos Bank operates in a Board Charter. The Board Charter is a written policy document that defines the respective roles, responsibilities and authorities of the Board, both individually and collectively, and of Management in setting the direction, management and control of the organisation. As such, it establishes the guidelines within which the Directors and Officers are to operate as they carry out their respective roles. In setting these guidelines, Qudos Bank has had regard to the ASX Corporate Governance Principles and Recommendations to the extent that they are relevant to and appropriate for an unlisted public company with a mutual structure.

Background
Jennifer Dalitz is a CA and CPA qualified finance professional with extensive strategic and operational experience in financial services and management consulting. Her expertise spans the full spectrum of retail banking, business banking and wealth management; and she has led major customer strategy and change programs, complex business units, and diverse boards and management teams through periods of complex change. Jen was appointed as a Director of Qudos Bank in 2019 and she currently serves as a member of the Risk Committee, Customer, ESG & Transformation Committee and Chair of the People & Remuneration Committee.

Background
Joe Dicks is a registered Chartered Accountant with over 33 years’ experience in the finance, agriculture and aged cared (including retirement living) industries. His career spans corporate advisory, business restructuring, profit improvement and risk & governance advice, and he is currently Chair of Campus Living Villages, as well as Non-Executive Director for Nido Education. Joe joined as Director of Qudos Bank in 2020 and currently serves as Chair of the Audit Committee.

Background
Barry Jackson joined Qantas in 1987 and is currently an A380 Captain. Barry is a past President of the Australian and International Pilots Association (AIPA) (the professional body representing Qantas pilots), where he served as President for 5 years and as a member of the AIPA Committee of Management for 10 years. Barry has been a Qudos Bank Director since 2015 and is currently a member of the Audit Committee, the Customer, ESG, Transformation Committee and the Distribution, Infrastructure & Technology Committee.

Background
Clare Mazzetti has a diverse background in management consulting and the financial services industry holding roles which span sales, investment management, strategy, planning, program management and M&A functions. Most recently, Clare has led a range of regulatory and growth transformation programs for clients in the banking industry. In addition to guiding organisations through change and transformation, Clare brings prior board experience across several sectors including the mutual sector, having previously served on the Police Bank board. Clare was appointed to the Board of Qudos Bank in 2020 and she currently serves as a member of the Risk Committee and the Customer, ESG, Transformation Committee and Chair of the Distribution, Infrastructure & Technology Committee.

Background:
Sally-Ann has extensive experience spanning Deep Tech, technology transformation, innovation & entrepreneurship, inclusion, business development, commercialisation and transformation. Prior to becoming CEO of Cicada Innovations, Sally-Ann spent over 12 years at Google as an Executive Program Manager on the engineering team. Sally-Ann has also been involved in driving national engagement and change strategies in innovation & entrepreneurship, Computer Science and STEM education as a member of the COAG STEM Partnership Forum and contributed to the foundation of StartupAUS, a non-profit with a mission to transform Australia through technology entrepreneurship. She has led several cross-sector working groups to drive change both in policy & cultural transformation needed to grow a thriving technology driven economy. Sally-Ann is an advisor to several state and national working groups on tech & innovation and is a mentor and advisor to several industry and university incubators & accelerators including Startmate.

Brendan Wright

Chief Executive Officer

Brendan joined Qudos Bank in 2023 as Chief Executive Officer. Brendan is a highly accomplished senior executive, with over 20 years executive leadership experience in financial services including retail banking, business banking and mortgage broking. His career achievements include CEO of a mortgage finance aggregator and financial services fintech, where he led the business through significant transformation to create an industry leading enterprise; and executive leaderships roles across NAB building innovative teams that deliver value and excellence in customer experience. He has also worked as a business consultant and currently sits on the board as non-executive Director of Citoplus, a commercial lending digital platform provider. With a customer-first mindset, Brendan is passionate about leading with purpose and creating a diverse and inclusive culture.

Anna Milinkovic

Chief Financial, Technology & Operations Officer

An experienced finance professional, Anna has more than 25 years' diverse experience in the financial services industry. Anna returned to Qudos Bank as Chief Financial Officer in February 2021 and is responsible for leading the Finance, Treasury and Payment Operations functions. Anna is passionate about lifelong learning, creating diverse and inclusive cultures and is committed to optimising financial operations and driving sustainable growth across the business.
Prior to rejoining Qudos Bank, Anna served as Qudos Bank's (Qantas Staff Credit Union at the time) Financial Controller in 2005 before moving onto various senior management roles including Financial Controller at Westpac and General Manager Finance at Thales. Anna is a graduate of the AICD and was appointed joint Company Secretary in September 2023.

Cindy Hansen

Chief Strategy and Transformation Officer
LLB(Hons), GradDipAppFin, F FIN, GAICD

Cindy leads Qudos Bank's Strategy and Transformation team and oversees the Bank's Environment, Social and Governance strategy. She joined the Qudos family in 2000 and served as the Bank’s General Counsel & Company Secretary for 15 years. Cindy has 30 years’ experience in the financial services industry, specialising in legal, compliance, governance and strategy. She is a passionate advocate for customer owned banking and is the Industry Representative on the Customer Owned Banking Code Compliance Committee. Cindy also holds voluntary positions as an Elected Councillor for HCF and as a Non-Executive Director of the Australian Finance Industry Association (AFIA). She is proud to be a signatory to the Banking & Finance Oath.

Stephen Swannell

Chief Customer Officer

Stephen is a seasoned executive with a career spanning over three decades in the financial services industry Since joining Qudos Bank in 2002, Stephen has held a diverse range of leadership roles across the organisation and is currently the Executive Manager of Retail Banking, championing Qudos Bank's customer-centric approach and ensuring Qudos delivers on its purpose via delivering exceptional service to our Members. His responsibilities encompass Lending, Financial Hardship Assistance, Branch Network, Operations, Contact Centre, Mobile Banking, Third Party, Dispute Resolution and Broker channels.

Antar Chahine

Chief Risk Officer
B.Com, CPA, CFE, MRMIA, MAICD

Antar, a Senior Leader with over two decades in the Australian banking sector, currently holds the position of Chief Risk Officer at Qudos Bank. In this capacity, he oversees and leads the Risk Management, Legal, Compliance, Credit Risk, Privacy, AML/CTF, and Fraud & Financial Crime Functions. Additionally, Antar serves as the Bank's Regulatory Liaison, Privacy Officer, and AML/CTF Officer.
A dedicated advocate for growth, sustainability, and resilience, Antar fosters a robust risk culture within his teams and throughout the organisation. With a commitment to accountability, transparency, and collaboration, he leverages his current position and extensive background in audit and assurance to protect the bank and its customers.

Wendy Hadenham

Executive Manager Human Resources

An experienced Human Resources professional, Wendy has over 20 years' experience in the finance sector. Prior to joining Qudos Bank, Wendy was a Human Resource Business Partner at JP Morgan Chase, supporting the Investment Bank, Equities and Custody businesses.
Wendy joined Qudos Bank in 2011 developing a deep understanding of the culture and people at Qudos across a range of Human Resources roles including Assistant Manager and Executive Manager Human Resources from 2019. In this role, Wendy focuses on helping our people reach their full potential through our values ‘The Qudos Way’, via learning and development opportunities as well as a range of people initiatives including wellbeing and employee benefits.

Kevin Ramsdale

Chief Marketing Officer
B.Comm, MBA, WCLP, MAICD

Kevin has over 30 years’ experience in customer facing roles spanning Marketing, Digital, Product, Sales and Service across a range of industries and operating environments. His experience spans the banking, insurance, retail, leisure, health and automotive sectors with an emphasis on insight led transformation, building brands, leveraging digital, data and analytics to drive growth, and developing high performing teams to deliver customer oriented commercial outcomes. As Chief Marketing Officer (CMO) Kevin leads the Digital, Product and Marketing functions championing Qudos Banks’ purpose and the voice of the customer to support our Members.

Prior to joining Qudos Bank in 2024 as Chief Marketing Officer, Kevin was the Chief Marketing Officer of Judo Bank and previously held roles including Executive General Manager of Membership at RACV, Marketing Director at JB HiFi and CMO and GM Consumer Marketing at NAB. Kevin also acts as an advisor to Australian fintech and start-up businesses.
